By accessing QRCodeKIT or using its services, you agree to the following terms and conditions:

1. ABOUT QRCodeKIT

QRCodeKIT, formerly known as uQR.me, is an online software-as-a-service platform that allows users to generate, edit, manage, and analyze dynamic QR codes in a secure and efficient way.

Dynamic QR codes encode a short URL to which any type of data, information or content can be linked. The main advantage of dynamic QR codes is that the underlying content can be edited and modified at any time, and as many times as needed, without changing the visual design of the QR code.

QRCodeKit.com is operated by Mobile Leaves, Corp. and “QRCodeKIT” is a registered trademark owned by Mobile Leaves, Corp., as detailed in our Legal Notice.

2. DEFINITIONS

For the purposes of these Terms and Conditions:

By “QR Code KIT”, “QRCodeKIT”, “QRCodeKit.com” or the “Services”, we mean the online platform that we operate, including:

 (a) our website at https://qrcodekit.com and any other “QRCodeKit.com”-branded sites (including subdomains, localized, widget and mobile versions);

(b) any web or mobile applications, dashboards, APIs or tools that we provide; and

(c) any related hosting, support and maintenance services.

By “we”, “us” or “our”, we mean Mobile Leaves, Corp., doing business as QRCodeKit.com.

By “you” or “user”, we mean the individual or legal entity accessing or using the Services.

By “content”, we mean any data, information, text, images, files, links or other material that you or your users upload, create, manage or make available through the Services or via any QR codes managed with the Services.

3. PRIVACY

As part of the contractual service provided, Mobile Leaves, Corp. and its service providers collect, store and process personal data in accordance with applicable data protection regulations and, in particular, US laws.

Your privacy is essential to us. Therefore, we provide you with a Privacy Policy that details the process of collecting and processing your personal data, the purposes of such processing and your rights as a user. We encourage you to read this document so that you can make informed decisions.

You, as a user, agree to the collection, storage, processing and transfer of your data in accordance with our Privacy Policy. The data collected will only be processed for the purposes stated in this document and will only be passed on to third parties if this is necessary for the provision of the services or if such transfer of data is subject to a legal obligation.

In operating, securing, and improving the website and our services, we may use automated tools and technologies, including artificial intelligence (“AI”) and machine learning systems. Any processing of personal data using such tools will be carried out in accordance with our Privacy Policy and applicable data protection laws.

4. ACCESS

By accessing QRCodeKit.com and using our services, you represent, acknowledge and agree that you are at least 18 years of age.

If you are under 18, but at least 14 years of age (a “Minor”), you represent, acknowledge and agree that you are using the website with the consent of your parent or legal guardian and that your parent or legal guardian is aware of and agrees to these Terms. Parents and legal guardians shall be solely responsible for any act or omission by the Minor that is contrary to these Terms or contravenes any rule of law, to the exclusion of any liability of QRCodeKit.com or Mobile Leaves, Corp.

If you are under the age of 14, you may not access or use QRCodeKit.com or submit any data or information to our website. You must leave QRCodeKit.com immediately.

5. REGISTRATION

QRCodeKit.com requires the registration of users to access our services, which can be done by completing the form through our website or by accessing through your Google account.

In order to properly provide the service we need you, as a user, to provide us with real, accurate and reliable data and information.

Therefore, by registering, you agree to comply with the following commitments regarding registration and maintaining the security of your account:

  • You will not provide false personal information to QRCodeKit.com, nor will you create an account for a third party, or for the company you work for, without their express consent.
  • You will keep your contact information accurate and up to date.
  • When selecting a username for your account, we reserve the right to remove it if we deem it inappropriate and there are reasons that we deem sufficient to do so.
  • You will not share your password, allow any third party to access your account, or take any action that may compromise the security of your account.
  • If we disable your account, you will not create another account without our express consent.

You, as a user, can transfer your account to a third party and authorize third parties to use your account, giving your consent and assuming responsibility for these actions. To do so, please contact us at support@qrcodekit.com.

6. PLANS

By accessing the Services provided by QRCodeKit.com, you may do so through either a free plan or a paid plan.

The free plan allows users to generate and manage up to 2 dynamic QR codes with limited features on a permanent basis. Each QR code in the free plan is subject to a maximum of 100 scans per calendar month. The features and benefits of the free plan may be modified at our discretion.

Once registered under the free plan, you can activate a 7-day trial period of the “Pro” plan, with a limit of up to 100 dynamic QR codes and a maximum of 200 scans per calendar month for each QR code. The trial period of the “Pro” plan does not renew automatically. When the 7-day trial period ends, if you have not chosen a paid plan or reverted to the free plan, your trial will expire and your account will be placed on hold or limited until you actively select a plan. In that situation, your dynamic QR codes will be suspended and will stop working, and you may lose access to some or all functionalities.

If you revert to the free plan, this will result in a reduction in both features and QR code types. Among other limitations, you will only be able to have a maximum of two active dynamic QR codes at the same time, each subject to a limit of 100 scans per calendar month. Any additional QR codes, as well as certain projects, templates, or designs, may be disabled or suspended, and some elements may no longer be editable. When your account is on the free plan, the system will automatically keep up to two QR codes active (typically the oldest ones) and will disable any others that exceed the limits of said free plan. If you later wish to activate a different QR code, you will first need to deactivate one of the currently active codes.

If you wish to access advanced functionalities or higher limits, you must subscribe to one of our paid plans.

QRCodeKit.com offers different paid plans to meet various needs, and pricing details can be found in the relevant section of our website. The features, functionalities, and pricing of the paid plans may be modified at our discretion, but such changes will not affect ongoing subscription periods.

The plan fee is charged at the beginning of the subscription period, granting access to the selected plan’s benefits for the paid duration. Once the period expires, it will automatically renew for the same duration unless you cancel your subscription or choose a different plan. If you do not wish to renew your subscription, you must cancel it before the billing date to avoid automatic charges.

At the end of the current subscription period, if you decide to upgrade to a higher-tier paid plan, and once the payment of the applicable fees for that plan has been successfully processed, you will gain access to the new plan’s benefits from the start of the new billing period.

At the end of the current period, if you decide to switch to the free plan, you will lose all functionalities and benefits of the paid plan upon expiration, and only the features of the free plan will remain available (such as limitations on QR codes and monthly scans). In such cases, you will need to select which QR codes, templates, or designs to keep in the new plan, within its limits. If you do not make this selection in time, the system may automatically disable or remove items exceeding the limits of the free plan.

If you wish to upgrade your subscription plan before the current period ends to a higher-tier plan, you must pay the full price of the new plan, and no refunds (full or partial) will be issued for the previous plan. However, any remaining time from the previous plan will be added to the new subscription period. The additional time will be calculated based on the unused portion of the previous plan and the monthly proportional price of the new plan. For example, if you have used half of the time from your previous plan and decide to upgrade to a higher-priced plan, the unused time will be converted into an extension of the new plan’s expiration date, either in days or months, depending on the proportional value. The exact calculation will be performed automatically and will be clearly displayed in your account.

If you wish to downgrade your subscription plan before the current period ends to a lower-tier plan, you must pay the full price of the new plan, and no refunds (full or partial) will be issued for the previous plan. Before proceeding with the downgrade, you must make the necessary adjustments to your account to comply with the new plan’s limitations, which may include the removal of certain QR codes, projects, templates, or designs that exceed the limits of the lower-tier plan. Until the current subscription period ends, you will retain access to the features of your existing plan. However, you must remove any excess elements before the new plan takes effect. If you fail to do so, the system will automatically delete or disable items exceeding the new plan’s limits at random, which may include QR codes, projects, templates, or designs that are relevant to you.

If, at the renewal date of any paid plan, we are unable to charge the applicable fees to your selected payment method, your subscription will not necessarily terminate immediately. At our discretion, we may keep your account under a temporary grace period during which we will attempt to process the payment again, and your dynamic QR codes may continue to operate. During any such grace period, you will remain responsible for the applicable subscription fees for the corresponding billing period.

If, after several attempts and within a reasonable time, we are still unable to collect the payment and/or you do not update your payment details, we may suspend or deactivate your paid plan, downgrade your account to the free plan, and/or deactivate some or all of your QR codes. In such cases, we will not be liable for any loss of data, scans, traffic, revenues, or business opportunities, or for any other damage or harm that you or a third party may suffer as a result of such suspension, downgrade, or deactivation due to non-payment.

7. BILLING AND PAYMENT

Users of paid services will be charged the corresponding fees for their subscriptions or any amounts resulting from agreements made with QRCodeKit.com, which will be documented in a written and signed agreement between QRCodeKit.com and the user.

By subscribing to a paid service, you, as the user, agree to pay the fees established for the selected plan, either on a monthly or annual basis, or according to the agreed terms, using a credit card or any other payment method accepted on our website. By subscribing, you authorize QRCodeKit.com and our payment processors to store your payment method information and to automatically charge the applicable subscription fees at the beginning of each billing period.

At the end of the current subscription period, your subscription will automatically renew for an equal period, unless you explicitly cancel your subscription, choose a different plan, or notify us that you wish to change your payment method or billing frequency. If you do not wish to renew your subscription, you must cancel it before the billing date to avoid automatic charges.

If a charge is declined or cannot be processed, you authorize us to retry the charge one or more times for the same billing period, using the same payment method or any updated payment method provided by you.

If, at the end of the current period, you decide to switch to the free plan, you will lose all functionalities and benefits of the paid plan, and only the features included in the free plan will remain available, including the limitation to 2 dynamic QR codes. In this case, you will have the option to select which QR codes you wish to keep, in compliance with the free plan’s limitations.

QRCodeKit.com reserves the right to update or modify the pricing of services and subscriptions, as well as to introduce new charges for additional services.

Unless otherwise agreed, such changes will take effect on the renewal date of the subscription period.

If, after several attempts and within a reasonable time, we are still unable to collect the payment for a paid plan and/or you do not update your payment details, we may suspend or deactivate your access to the paid services, downgrade your account to the free plan, and/or deactivate some or all of your QR codes. In such cases, we will not be liable for any loss of data, scans, traffic, revenues, or business opportunities, or for any other damage or harm that you or a third party may suffer as a result of such suspension, downgrade, or deactivation due to non-payment.

In case of payment issues or failed renewals, we may contact you by email or other means (including through our CRM tools) to help you update your payment information and recover your subscription before suspending or terminating the service.

RIGHT OF WITHDRAWAL FOR EU CONSUMERS

IF YOU ARE A RESIDENT OF THE EUROPEAN UNION AND ACTING AS A CONSUMER, YOU HAVE THE RIGHT TO WITHDRAW FROM ANY CONTRACT FOR PAID DIGITAL CONTENT OR SERVICES CONCLUDED WITH US WITHIN 14 CALENDAR DAYS FROM THE DATE OF CONCLUSION OF THE CONTRACT, WITHOUT HAVING TO INCUR ANY ADDITIONAL COSTS OR PROVIDE A REASON, IN ACCORDANCE WITH APPLICABLE LAW.

IF YOU ASK US TO START PROVIDING THE DIGITAL CONTENT OR SERVICE DURING THE 14-DAY WITHDRAWAL PERIOD, YOU ACKNOWLEDGE THAT ONCE THE DIGITAL CONTENT HAS BEEN FULLY PROVIDED OR THE SERVICE HAS BEEN FULLY PERFORMED, YOU WILL NO LONGER HAVE A RIGHT OF WITHDRAWAL. IF YOU EXERCISE YOUR RIGHT OF WITHDRAWAL AFTER THE SERVICE HAS STARTED BUT BEFORE IT HAS BEEN FULLY PERFORMED, WE MAY BE ENTITLED TO CHARGE YOU AN AMOUNT PROPORTIONAL TO THE SERVICES PROVIDED UP TO THE TIME YOU INFORM US OF YOUR DECISION TO WITHDRAW, AS PER APPLICABLE LAW.

Outside the above-mentioned cases, any charges or payments made on QRCodeKit.com may be refunded within 7 calendar days. After this period, no refunds will be possible, regardless of the payment method used. Any costs or fees associated with the refund process shall be borne by the user requesting the refund.

NOTHING IN THESE TERMS AND CONDITIONS IS INTENDED TO EXCLUDE OR LIMIT ANY MANDATORY CONSUMER RIGHTS THAT MAY APPLY UNDER THE LAWS OF YOUR COUNTRY OF RESIDENCE.

SUBSCRIPTION CANCELLATION REQUEST

Users may request the cancellation of their subscription at any time. The cancellation will take effect at the end of the paid period or, if applicable, when the trial period concludes. For free subscriptions, the cancellation will take effect 7 days after the request is received. When you request the cancellation of a paid plan, we will stop charging you for subsequent billing periods. Unless you explicitly request immediate deletion of your account or earlier termination of the service, your paid plan will normally remain active until the end of the current paid period, and your QR codes will generally continue to work during that time. Once the cancellation becomes effective, your subscription will be terminated, your account may be downgraded to the free plan or closed, and some or all of your QR codes may stop working.

In all cases, to process a cancellation, you must provide a brief explanation of your reasons for canceling, along with your billing details (name, transaction ID, last four digits of the credit card associated with the account, billing date, etc.), as well as your email address and any other necessary information to verify your identity.

If you submit a cancellation request while your account is in any grace or recovery period following a failed renewal, we may immediately stop any further renewal attempts and treat your subscription as canceled, in which case your QR codes may be deactivated when the cancellation becomes effective, and your account may be downgraded to the free plan or closed.

If you cancel a paid plan, you will retain access to your subscription features until the end of the paid period, unless you explicitly request immediate deletion of your account.

QRCodeKit.com reserves the right to deny refund requests for recurring payments that are not accompanied by a cancellation request or, in other specific cases, depending on the circumstances.

8. CONTENT AND INFORMATION

Dynamic QR codes encode a short URL to which any type of data, information, or content can be linked.

Any content or information linked to a QR Code is the property of the user who created it and is the sole responsibility of the user. If the content or information belongs to a third party, the user is responsible for having the necessary rights to share it through their QR codes and is responsible for its legality.

In relation to content that is protected by intellectual property rights, you, as a user, explicitly grant us a worldwide, non-exclusive, transferable, sub-licensable and free license to use such content. This license allows us to store and display your content to visitors to the QR Code. This license terminates when you delete your content or your account, unless your content has been shared with third parties and they have not deleted it.

You should understand, however, that despite deletion, your content may remain in our backup copies for a reasonable period of time, although it will not be available to third parties.

In addition, as a user, you must comply with the following limitations on the content you may link to your QR codes:

  • You will not use your QR codes to upload content that is or may be illegal, misleading, deceptive, malicious, discriminatory, pornographic, threatening, incites violence, contains nudity or violence, may generate hatred, harassment, intimidation or violence against a person or collective.
  • You will not use your QR codes to harm a third party.
  • You will not use your QR codes to link or redirect to websites, applications or services that promote or facilitate illegal activities, distribute malware or other harmful code, or otherwise violate these Terms and Conditions.
  • You will not use your QR codes to send or publish unauthorized commercial communications (such as spam or phishing).
  • You will not use your QR codes to spread viruses or to use automated means to collect personal or sensitive data from third parties.

At QRCodeKit.com we value and respect the rights of others and expect our users to do the same. By using our website, you agree not to use it to post, transmit, distribute or store any content that infringes the rights of third parties, including but not limited to intellectual property rights, privacy rights, publicity rights, personal data or sensitive information.

Examples of conduct that is expressly prohibited include, but are not limited to:

  • Posting content that infringes the copyrights, trademarks, patents, trade secrets or any other intellectual property rights of third parties.
  • Posting content that contains personal information of third parties, such as names, addresses, phone numbers, e-mail addresses, or any other information that can identify an individual without their consent.
  • Posting content that promotes or encourages discrimination, hatred, violence or any other inappropriate or illegal conduct.

We reserve the right to remove any content that, in our sole judgment, violates this clause or any other part of QRCodeKit.com’s Terms and Conditions.

Without limiting the foregoing, we may at any time disable, block, limit or delete any QR Code, project or content that we reasonably believe violates these Terms and Conditions or applicable law, or that may harm us, other users or third parties. In such cases, you will not be entitled to any refund, compensation or indemnification as a result of such disabling, blocking, limitation or deletion.

We also reserve the right to take legal action against any user who violates this clause or any other part of QRCodeKit.com Terms and Conditions.

If you believe that your intellectual property rights are being infringed, please contact us at support@qrcodekit.com.

If we remove your content for infringing someone else’s copyright and you believe we removed it in error, we offer you the opportunity to appeal by emailing us at support@qrcodekit.com.

If you repeatedly infringe the intellectual property rights of others, we will deactivate your account where appropriate, without any right to compensation or indemnification.

If you use your QR codes to collect information from users, you must obtain their consent by expressing that you, and not QRCodeKit.com, are the one collecting such information and by explaining in a privacy policy what information you collect and how you intend to treat and use it.

By subscribing to or using the Services offered by QR Code KIT, you, as a user, hereby authorize Mobile Leaves, Corp. to use and display your logo or brand, including that of the company you represent, on our website, marketing materials, and social media platforms. This usage is purely representative and does not imply any formal association between the two entities. However, you can revoke this authorization at any time by providing an explicit statement to the contrary, which can be communicated through any available contact channels.

Some features of the website and the services (for example, recommendations, analytics, insights or responses provided by chatbots, virtual assistants or other automated tools) may be generated using AI or other automated systems. These outputs are provided for convenience only, may not always be accurate, complete or up to date, and do not constitute legal, financial or other professional advice. You remain solely responsible for reviewing and verifying any such outputs before relying on them or using them in connection with your QR codes, your content or your business. Where we use your content or related data to train or improve our AI models or other automated systems, we will do so in accordance with our Privacy Policy and applicable law.

9. QRCODEKIT.COM WEBSITE SECURITY

At QRCodeKit.com, security is one of our primary concerns. Therefore, we are committed to protecting our users’ information and maintaining the integrity of our website at all times.

In addition, to ensure the security and proper functioning of our website, we reserve the right to take necessary measures to prevent, limit or stop any behavior that we deem inappropriate by users. In particular, it is strictly forbidden:

  • Use the website to spread viruses, malware or other malicious code.
  • Send or post unauthorized commercial communications (such as spam or phishing).
  • Harvest user content or information, or accessing QRCodeKit.com using automated means (such as harvesting bots, robots, spiders or scrapers).
  • Engage in activities that may interfere with the normal operation of the website or its services.
  • Attempt to access restricted areas or private information without proper authorization.
  • Take any action that could disable, overburden, or impair the proper working of QRCodeKit.com, such as an attack on the service.

By accessing and using our website, you agree to comply with these Terms and Conditions and acknowledge that any violation of these Terms and Conditions may result in legal action against you.

10. QRCodeKIT WEBSITE OPERATION

At QRCodeKit.com, we work continuously to keep our website and services in optimal working condition, error-free, and up to date.

However, to the maximum extent permitted by applicable law, the website and the services are provided on an “as is” and “as available” basis. We do not make, and expressly disclaim, any representations, warranties or guarantees of any kind, whether express, implied or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the website or the services will meet your requirements or expectations. We do not guarantee that the website or the services (including any recommendations, analytics, insights or other outputs generated by automated tools) will always be available, secure, uninterrupted or error-free, or that any defects or errors will be corrected.

To the maximum extent permitted by applicable law, in no event shall QRCodeKit.com, Mobile Leaves, Corp., or any of their affiliates, directors, employees or agents be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, or for any loss of profit, revenue, business, contracts, data, goodwill or anticipated savings, arising out of or in connection with the website, the services or these Terms and Conditions, whether based on contract, tort (including negligence), strict liability or otherwise, even if we have been advised of the possibility of such damages. In addition, our total aggregate liability arising out of or relating to the website, the services, and these Terms and Conditions shall in no event exceed the total amount of fees actually paid by you to us for the services during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms and Conditions is intended to exclude or limit any liability which cannot be excluded or limited under applicable law.

Without limiting the foregoing, we will not be liable for any failure or delay in the performance of our obligations under these Terms and Conditions to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil or military disturbances, strikes or other labor disputes, failures or interruptions of internet, telecommunications or hosting services, power failures or acts or omissions of third-party service providers.

In the event that QRCodeKit.com is unable to adequately provide the service for a certain period of time due solely to a technical problem of its own, and this seriously affects a paying user, the user will have the right to claim compensation proportionate to the time the problem has persisted. Such compensation shall in no case be of a pecuniary nature, but shall be granted by postponing the renewal date of the subscription for a certain period of time. This postponement of the renewal date shall be your sole and exclusive remedy for such service interruption. The compensation will be granted at our discretion and will be calculated on the basis of the duration of the service interruption.

11. BREACH

Any dispute or claim relating to your breach of these Terms and Conditions or your use of the QRCodeKit.com website shall be resolved exclusively in the federal courts located in Delaware, United States. You agree to submit to the personal jurisdiction of these courts for any claim or cause of action arising out of or relating to these Terms and Conditions or your use of QRCodeKit.com.

By using our website, you agree that any dispute or claim will be resolved in accordance with applicable U.S. law, without regard to conflict-of-laws rules or applicable international law provisions.

Any material breach of these Terms and Conditions, including without limitation the non-payment or repeated non-payment of applicable fees, may result in the suspension or termination of your account, the downgrade of your account to the free plan and/or the deactivation of some or all of your QR codes, without liability on our part and without prejudice to any other rights or remedies available to us.

In the event that a third party brings a claim or demand against QRCodeKit.com relating to a user’s performance, the user agrees to indemnify and hold QRCodeKit.com and its affiliates, directors, employees and agents harmless from and against any expenses, costs, damages or injury caused to QRCodeKit.com as a result of the claim or demand, including legal fees and costs related to such claim or demand.

12. NON – U.S. USERS

We strive to create a global community with consistent standards for all, in particular, those established by U.S. law and the GDPR.

Therefore, in the event that you are a non-U.S. user, please note that the personal data you provide to us will be transferred to and processed in the United States and that, by agreeing to these Terms and Conditions, you consent to such transfer and processing in accordance with our Privacy Policy. Further information on international data transfers and the safeguards we apply is provided in our Privacy Policy.

We are committed to ensuring that any transfer of personal data is done in accordance with applicable laws and regulations, and will take appropriate technical and organizational measures to protect the security and privacy of your data.

Nothing in these Terms and Conditions, including the choice of U.S. law and the jurisdiction of the courts of Delaware, is intended to exclude or limit any mandatory consumer protection rights that may apply to you under the laws of your country of residence.

13. APPLICATION OF THESE TERMS AND CONDITIONS

Acceptance of these Terms and Conditions constitutes a binding agreement between QRCodeKit.com and the user. These Terms and Conditions shall apply at all times.

These Terms and Conditions, together with the Legal Notice, the Privacy Policy and the Cookie Policy, govern your access to and use of the website and the services and, unless you and we have executed a separate written agreement that expressly states it supersedes or supplements these Terms and Conditions, constitute the entire agreement between you and QRCodeKit.com in relation to such access and use.

To the extent permitted by law, in the event of any inconsistency or conflict between these Terms and Conditions and any terms or conditions contained in or referenced by any purchase order, procurement portal, vendor onboarding document, order form or any other document issued or signed by you in connection with the services, these Terms and Conditions shall prevail and control, unless we expressly agree otherwise in a separate written agreement signed by our duly authorized representative which clearly identifies the specific provisions of these Terms and Conditions that are being amended or superseded.

We reserve the right to modify or update the Terms and Conditions of the website at any time. Changes will be effective from the time they are posted on the website and will be applicable to all users. It is the user’s responsibility to regularly review the Terms and Conditions to be informed of any changes that may occur. If the user uses the website after the publication of the changes, it will be considered that the user has accepted the modifications.

In the event that any provision of these Terms and Conditions is declared unenforceable, such provision shall be deleted without affecting the validity of the remaining provisions.

Failure to exercise any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

Any amendment or waiver of these Terms and Conditions must be in writing and signed by us.

You will not transfer any of your rights or obligations under these Terms to any third party without our consent.

You agree to comply with all applicable export control, trade and economic sanctions laws and regulations, including those of the United States. You represent and warrant that you are not located in, and will not use the services from, any country or territory subject to comprehensive U.S. sanctions, and that you are not listed on, or owned or controlled by any person listed on, any U.S. or other applicable sanctions or restricted party list.

You also agree not to use the services in any way that would cause us to violate any applicable anti-bribery or anti-corruption laws (including, where applicable, the U.S. Foreign Corrupt Practices Act, and other similar anti-bribery laws), and you will not offer, promise, authorize or make any improper payment or transfer of anything of value to any government official or other person in connection with your use of the services.

We reserve the right to freely assign or transfer any of our rights and obligations under these Terms and Conditions, whether in the context of a merger, acquisition, sale of assets, business reorganization, legal requirement or otherwise for cause.

This agreement between QRCodeKit.com and the user has an indefinite duration, unless otherwise stated in the specific conditions of each service. You may terminate the agreement at any time by closing your account and/or cancelling your subscriptions in accordance with these Terms and Conditions.

We may suspend or terminate this agreement, your account and/or any access to the services (in whole or in part) with immediate effect if: (i) you fail to pay any applicable fees when due and do not remedy such failure within a reasonable time; (ii) you materially breach these Terms and Conditions (including, without limitation, the content and security rules set out in Sections 8 and 9) or we reasonably believe that your use of the services may be unlawful, fraudulent or harmful to us, other users or third parties; (iii) we are required to do so by law, court order or request of a competent authority; or (iv) we decide to discontinue the website or the services, in which case we will provide you with reasonable prior notice where practicable.

Upon termination of this agreement for any reason, your right to access and use the services will cease, your account may be closed or downgraded to the free plan, and some or all of your QR codes may stop working. We have no obligation to maintain, store or return any content, data or information associated with your account after termination, except as required by applicable law or as described in our Privacy Policy.
